Terms of Use

Last updated: August 24, 2026

This English page is provided for convenience. If there is any inconsistency, the Japanese version governs.

These Terms govern consulting, training, workshops, and this website provided under the Deltalyze trade name (collectively, the "Services"). Please review them before using the Services.

01Scope

The Services are intended for business use by companies and sole proprietors, and are not offered to consumers. These Terms apply to every user of the Services. Use of the Services constitutes acceptance of these Terms.

02Services

  • AI-enabled business transformation, process redesign, and decision-support improvement.
  • Organizational analysis and workforce or role design.
  • AI literacy training, practical workshops, and custom learning programs.
  • Other services separately offered by Deltalyze.

Scope, fees, delivery dates, and deliverables are specified in a separate proposal, quotation, statement of work, or agreement.

03Inquiry form

Inquiry form data is transmitted to Deltalyze through Resend, Inc. Submitting the form does not constitute an order or contract. We aim to respond within two business days but may take longer depending on the request. We may decline to respond to requests outside our scope or to sales and promotional messages.

04Application and contract formation

An application is made through the inquiry form, email, or another method we specify. A contract is formed when we review and accept the application in writing or electronic form.

05Fees and payment

Fees, timing, and payment method are stated in the individual agreement or quotation. Payment must be made by the due date. To the extent permitted by applicable law, late payment may bear damages at 14.6% per year.

06Prohibited conduct

  • Violating law or public order.
  • Infringing intellectual property, reputation, privacy, or other rights of Deltalyze or a third party.
  • Interfering with the Services or attempting unauthorized access.
  • Reusing or reselling information or deliverables outside the agreed scope without prior consent.
  • Other conduct we reasonably determine to be inappropriate.

07Intellectual property

Copyright and other intellectual property in our training content, products, reports, documents, and related materials remain with Deltalyze or the relevant licensor. A client may use them only within the scope of the applicable agreement.

08Confidentiality

Each party will protect the other party's non-public business and technical information learned through the Services and will not disclose or use it outside the engagement without prior written consent, except as permitted in the individual agreement or by law.

09Disclaimers and limitation

We do not guarantee fitness for a specific purpose, achievement of a particular outcome, or non-infringement beyond the express terms of an individual agreement. Where we are liable for damages attributable to us, liability is limited to fees paid under the related agreement, except in cases of willful misconduct or gross negligence. To the extent permitted by law, we are not liable for lost profits or indirect, special, consequential, or opportunity loss.

10Changes, interruption, or termination

We may change, suspend, or end all or part of the Services for business, technical, maintenance, failure, or other unavoidable reasons. Treatment of an ongoing engagement may be adjusted by its individual agreement.

11Acceptance and non-conformity

Where deliverables are provided, the client will inspect them within 14 days of delivery. If no specific written notice of non-conformity is received within that period, acceptance is deemed complete. This does not exclude responsibility for willful misconduct or gross negligence.

12Exclusion of antisocial forces

Each party represents that it and relevant officers, employees, and affiliates are not organized crime groups or similar antisocial forces and do not maintain prohibited relationships with them. A breach permits immediate suspension or termination without prior demand.

13Force majeure

Neither party is responsible for failure caused by events beyond reasonable control, including disasters, epidemics, war, terrorism, government action, strikes, cyberattacks, widespread communication or power failure, and failures of third-party infrastructure. If such an event continues for more than 30 days, either party may terminate the individual agreement by written notice.

14Subcontracting

We may subcontract part of the Services where necessary. We require the subcontractor to observe obligations at least equivalent to the applicable duties and remain responsible for its work as provided by law and the individual agreement.

15Current business form and succession

The Services are currently provided by a sole proprietor under the trade name Deltalyze. Incorporation is planned. Upon incorporation, rights, obligations, and contractual positions may be transferred to the newly formed entity, with notice provided on the website, to the extent permitted by law and the relevant agreement.

16Termination for breach

If a user breaches these Terms or an individual agreement, we may suspend the Services or terminate the agreement without prior demand where permitted.

17Changes to these Terms

We may update these Terms when necessary. Updated Terms become effective when posted. We will provide reasonable notice of material changes.

18Governing law and jurisdiction

These Terms and individual agreements are governed by Japanese law. The Tokyo Summary Court or Tokyo District Court, depending on the amount in controversy, has exclusive agreed jurisdiction as the court of first instance.
